(NASDAQ: ACTU) (“Actuate” or the “Company”), a clinical-stage biopharmaceutical company focused on developing therapies for the treatment of high-impact, difficult-to-treat cancers through the inhibition of glycogen synthase kinase-3 beta (GSK-3β), today announced the closing of its $17.25 million underwritten public offering of 2,464,286 shares of its common stock, including 321,428 additional shares of its common stock issued pursuant to the full exercise by the underwriter of its over-allotment option. The public offering price, before underwriting discounts and commissions, for each share of common stock was $7.00. All of the securities in the underwritten public offering were sold by the Company.
Lucid Capital Markets acted as sole book-running manager for the offering. Titan Partners Group, a division of American Capital Partners, acted as financial advisor in connection with the offering.
Greenberg Traurig, LLP represented the Company and Lowenstein Sandler LLP represented the underwriter in the transaction.
The Company intends to use the net proceeds from the offering of approximately $15.62 for working capital and general corporate purposes.
