Certara, Inc. (Nasdaq: CERT), a global leader in biosimulation, today announced that it closed its public offering of 23,000,000 shares of common stock at $31.00 per share. The closing includes 3,000,000 shares sold upon full exercise of the underwriters’ option to purchase additional shares of common stock. Certara sold 4,500,000 shares of its common stock, and certain selling stockholders sold 18,500,000 shares of common stock in the offering. The gross proceeds to Certara from the offering were approximately $139.5 million, before deducting the underwriting discount and offering expenses. Certara intends to use the net proceeds from shares it is selling in the offering for general corporate purposes, including acquisitions. Certara did not receive any proceeds from the sale of shares in the offering by the selling stockholders.
The offering was made through an underwriting group led by Jefferies, Morgan Stanley and BofA Securities, who acted as lead joint book-running managers, and William Blair, Credit Suisse, Barclays and Capital One Securities, who acted as joint book-running managers.
